This stage involves officially formalizing your business with the relevant government authorities, primarily the Patents and Companies Registration Agency (PACRA) in Zambia.

Why it’s important?:

  • Business registration makes your entity a legal and recognized body.
  • It allows you to conduct business legally.
  • It enables you to open bank accounts and comply with tax and regulatory requirements.

Example of what happens when the task is done: 

A newly registered consultancy firm, “Green Growth Advisors,” receives its Certificate of Incorporation from PACRA, enabling them to legally bid for government contracts and open a corporate bank account.

Example of what happens if it is not done: 

An unregistered informal trading business is unable to secure a formal contract with a large client because they lack a legal business entity and registration numbers, missing out on significant growth opportunities.

Registering a business or limited company in Zambia is done through the Patents and Companies Registration Agency (PACRA). The process is fairly structured but differs slightly depending on whether you’re registering a business name (sole proprietorship/partnership) or a limited company. Here’s a step-by-step breakdown:

A. Registering a Business Name (Sole Proprietorship or Partnership)
1. Name Search & Reservation
  • Submit 3–5 proposed names to PACRA online or at their office.
  • PACRA approves one name (valid for 30 days).
2. Complete Business Name Registration Form
  • Provide details of the proprietor(s), physical address, and nature of the business.
3. Pay Registration fees
  • Business name registration is relatively cheap (around K166 – K200).
4. Obtain Certificate of Registration
  • PACRA issues a Certificate of Registration confirming legal recognition of the business.
B. Registering a Limited Company (Private or Public Ltd)
1. Name Search & Reservation
  • Submit proposed company names via PACRA’s online system or physically.
  • Approved name is reserved for 30 days.
2. Complete Business Name Registration Form
  • Form 2 (Declaration of Compliance): Signed before a Commissioner of Oaths.
  • Form 5 (Application for Incorporation): Contains company details (share capital, directors, shareholders).
  • Articles of Association: Governs internal operations (you can adopt PACRA’s standard articles or create custom ones).
3. Submit Documents to PACRA
  • Either online or at the counter.
  • Provide details of shareholders, directors, registered office, and company secretary (mandatory for companies).
4. Pay Registration Fees
  • Fees depend on share capital (e.g., around K1,000+ for small private companies, higher for public).
5. Pay Registration fees
  • This legally establishes the company as a separate entity.
6. Post Incorporate Registrations
  • Zambia Revenue Authority (ZRA):  Register for Taxpayer Identification Number (TPIN), VAT, PAYE, or corporate tax.
  • National Pension Scheme Authority (NAPSA): For employee social security contributions.
  • Local Authorities / Councils:  Get business permits or trading licenses.
  • Sector Regulators:  Apply for specific licenses (e.g., ERB for energy, BOZ for financial services, ZICTA for telecoms)
